3G Infrastructure Project
August 2012
I supported a mega project by providing all rounded legal support to a well-known global ICT in which our client designed, supplied, delivered, engineered, installed, integrated, tested, supported and provided 2nd and 3rd line maintenance of telecommunications equipment and services to a telecom operator in Sweden.
In this project, I was involved in -
1) drafting and revising clauses and other commercial terms and conditions;
2) negotiating with representatives
of the telecom operator;
3) advising our client's internal business groups on the terms of contracts and scope of work; and
4) consolidated all comments from various internal business groups and formulated business plan.
3G Network Expansion & Upgrade Project
January 2013
In this project, I was appointed as a lead negotiator for a well-known global ICT company in a network expansion project with a telecom operator in Sri-Lanka. Apart from negotiating with representatives of the telecom operator, I also assisted with drafting of the main contract and terms of acceptance, specifications, responsibility assignment matrix, and the project plan with our internal engineers and commercial managers. The team did not sleep for 2 consecutive nights while preparing the project plan.
Large Scale Termination Dispute
December 2013
In this case, I worked as a senior legal counsel for an ICT company together with a large team of experts from other
fields in handling a large scale termination case involving a well-known British telecom operator. We have been served with a notice of breach allegedly claiming we had committed persistent breach of certain terms and were asked to remedy the defect. A termination notice was later served. I had the opportunity to work with a Queen Counsel in this defence case.
License of Household Cartoon IPR
April 2014
An American animation firm had agreed to license certain rights to my client with respect to 3D versions of the theatrical motion pictures and animated television properties which would be used in handheld devices. I was involved in negotiating and drafting of the main license agreement and, the subsequent, joint venture agreement.
Acquisition of Equity Interest in a Photo App company (a Cayman Island company)
November 2014
This was a high profile investment project in which I assisted my client, a famous handsets manufacturer listed on the Hong Kong Stock Exchange, by providing all-rounded legal support to this deal.
In this deal, I also reviewed numerous transactional documents including but not limited to Series C SPA, SHA, MA, the target's restated articles agreement, management right letter, capitalization table, shareholders' resolutions, shareholders' loan agreement and more.
Fund Raising for an EV firm
October 2019
In this deal, I assisted a new energy electric vehicle manufacturer who is a Sino-Equity Joint Venture Company based in China, to successfully secure a 2.56 billion RMB loan from an investment firm.
In this project, I have spent three months in mainland China and worked nearly 7 days a week for every week while I was there to finally be able to close the deal. I reported directly to the CEO and Chairman of the JV.
Multi-jurisdictions Shares Charge Project
March 2018
This was one of the biggest projects I had been involved so far. I successfully helped my client, an international bank, to complete a share-charge transaction involving a sum of 40 billion.
For this project, our team had to negotiate heavily with our professional indemnity insurers back and forth to top up our policy coverage. We also had a very reliable Samoan lawyer helping us with registration of charge in his country.
